Terms of Service

Last updated

These are the terms you agree to when you hire Dockit. They are written to say the same thing the rest of this site says — the flat price, the 2-day draft, the books by the 10th — and to be honest about the edges where those commitments have limits.

The engagement letter governs

These terms cover this website and the general relationship. The specific work we do for you — the returns, the entities, the year, the price — is set out in the engagement letter you sign before we start. Where the engagement letter and this page disagree, the engagement letter wins.

What we do

We prepare federal and state tax returns and close monthly books. AI drafts from the documents you send; a licensed professional reviews every line, signs the return, and is responsible for it. Nothing is filed until you have seen the finished draft and approved it.

We are an Authorized IRS e-file Provider. We are not a law firm and we do not give legal advice. We do not give investment advice. Where your situation needs either, we will say so.

What you are responsible for

Giving us complete and accurate information, and doing it in time for us to work with it. We do not audit or independently verify what you send us. A return is only as correct as the documents behind it, and the law puts the final responsibility for the accuracy of your return on you — which is why you review and approve it before we file.

Telling us about anything unusual: a move between states, equity you exercised, a business you started or sold, foreign accounts, cryptocurrency, a life event. Those change a return, and we cannot ask about what we do not know exists.

Reviewing your draft. When you approve it, you are confirming you have read it and believe it is correct.

Prices and payment

Our prices are published on this site and your exact price is fixed before we start any work. It does not move afterwards unless you ask us to do something outside what you scoped — a second state, an added entity, a year of catch-up bookkeeping — and we will quote that and get your agreement before doing it.

Half is due when you sign the engagement letter and half when you approve your draft. The deposit is fully refundable until we begin work. Bookkeeping is billed monthly in advance.

Our fee is for the work, not for a particular outcome. It does not depend on the size of a refund, and no part of it is contingent on one.

Turnaround

We commit to a first draft within 2 business days of receiving a complete set of documents, monthly books closed by the 10th, and a reply to any message within 1 business day. Those are commitments we intend to keep and will tell you promptly if we cannot.

"Complete" is doing real work in that sentence. The clock starts when we have everything on your checklist, not when you send the first item. If something is missing we will tell you the same day.

Some things are outside our control: an IRS or state system outage, an e-file rejection needing correction, a form the tax authority has not released yet, or a document only a third party can produce. Where one of those delays your return we will tell you what happened and what we are doing about it.

Filing and rejections

Once you approve a return we transmit it electronically. Acceptance is the tax authority’s decision, not ours. If a return is rejected we will tell you, correct what caused it where we can, and refile at no additional cost when the cause was our error.

We will not file an extension without asking you first.

Notices and audit defense

If you receive a notice about a return we prepared, send it to us. Responding to routine notices is included with your plan.

Every return we file includes Protection Plus audit defense, which is a third-party service with its own terms and its own limits. It is not insurance against tax you actually owe. If we made an error that caused a penalty or interest, we will pay that penalty and interest — but not the tax itself, which you would have owed either way.

Cancelling

You can stop working with us at any time. Before we start, your deposit is refunded in full. After we start, you owe us for the work done to that point and we will give you everything we have produced.

Bookkeeping can be cancelled with 30 days’ notice; we will close the final month and hand over the file.

Everything you uploaded and everything we filed stays downloadable from your portal after you leave.

Limits

Except where the law does not allow it to be limited, our total liability for any claim arising from our work is capped at the fees you paid us for the engagement that claim concerns. We are not liable for indirect or consequential losses.

Nothing in these terms limits liability for fraud, for willful misconduct, or for anything else that cannot be limited by law — including a professional’s responsibility for work they signed. Some states do not allow certain limitations, in which case the limitation does not apply to you.

This site

The content of this site is ours. The third-party marks shown here — the IRS mark, Protection Plus, and the marks in "our team comes from" — belong to their owners and appear as statements of fact, not as endorsements of Dockit by those organizations.

Prices and descriptions on this site are current as of the date at the top of this page. Your price is the one in your engagement letter.

Changes

We may update these terms. The date at the top changes when we do, and a change never applies retroactively to an engagement already underway.

Governing law and contact

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising from them will be brought in the state or federal courts located in Delaware, and both of us consent to the jurisdiction of those courts.
